What Do SaaS Companies Need From Technology E&O Insurance?

The claim is a customer's financial loss, not an injury. One provider's examples for a SaaS company include a routine code update that causes a 48-hour outage after which the largest client sues for lost revenue; another lists cloud data services that failed to back up critical data a customer cannot recreate. General liability does not answer these claims: one provider says it covers physical injuries and property damage, and another says traditional liability policies usually won't cover pure financial losses.1,4,5

If you sell to a state agency, the insurance exhibit may name tech E&O. Georgia's statewide purchasing guidance says any individual or firm providing technology services or products should be required to carry it, and lists hosted solutions, cloud data storage and SaaS tools such as CRM and email marketing among the examples. Its recommended requirement for information technology suppliers says claims-made cover must be backed by a tail of at least two years after the term if the policy is cancelled or non-renewed. That is one state's recommendation to its own agencies, not a law or a rule that binds other buyers.3

Some public buyers ask for the policy, not just the certificate. One New York statewide information technology umbrella contract's insurance appendix (January 2018) generally requires only certificates and additional-insured endorsements, but for tech E&O it requires a schedule of forms and endorsements after renewal or on request, and all forms and endorsements on request, unless the contract says otherwise. Keep your policy documents ready to send.6

Which Technology E&O Exposures Do SaaS Companies Face?

Your uptime promises may sit outside the policy. One provider's standard tech E&O policy excludes claims arising solely from breach of contract, such as failing to meet an SLA, with a narrow exception when your negligence would have created liability even without the contract, and says SLA penalties, liquidated damages, credits and refunds are not covered even then. Another warns that many E&O policies don't cover actions that breach a contract. Others publish contract cover as a feature: one lists breach of contract among its key features, and another lists express breach of contract and liability assumed contractually. Ask for the contract-liability wording before you compare prices.1,4,7,8

A bug and a breach can be the same incident. One provider's example: a coder's mistake in encryption key generation leaves customer backups in a public storage bucket, producing a cyber claim for notification and forensics and an E&O claim from customers harmed by the failed backup system; it says both policies can apply and neither covers the other perfectly. Another says its tech E&O does not cover data breaches or unauthorized access, and Georgia's guidance says to require network security and privacy coverage in addition to tech E&O when a supplier handles personal or confidential data. Ask whether your quote bundles cyber or you need a second policy.1,2,3

What Should SaaS Companies Check Before Buying Technology E&O Insurance?

Expect underwriters to read your customer paper. One carrier's short-form application (form edition 10/16) asks for your largest active customer contract and average contract value and length, what share of customers sign written contracts, whether counsel reviews critical contracts including customized deals for larger customers, and what share of contracts carry a consequential-damages disclaimer, a limit of liability to the cost of products or services, and a warranty disclaimer. It also asks about customer acceptance procedures and a written quality-control program, including software development methods. Keep a clean template and a list of deals where a customer negotiated away your limits.9

List every service line you sell, and say early if your product touches a class the form asks about separately. The same application asks what share of revenue comes from services such as application service provider, web hosting, data processing and software development, whether any product entering a new market within a year differs substantially in scope or end use, and whether you operate as a financial institution, payment processor or data aggregator, or provide medical, transportation or data-security products. Name each line so the quote reflects it.9

Ask about the tail before a customer does. One provider says its tech E&O policy is claims-made: the claim must be first made during the policy period or an extended reporting period, the wrongful act must follow the retroactive date, and if you switch carriers you need to coordinate retroactive dates. A public buyer may fix the tail for you; Georgia's recommended IT requirement asks for at least two years. Ask what extended reporting period the quote offers and what it costs.1,3

Often, when an enterprise customer or public buyer asks for it. One provider says enterprise customers and SaaS contracts often require proof of tech E&O and cyber before they sign, and Georgia's guidance to its state agencies says suppliers of technology services or products, SaaS tools included, should be required to carry it. Ask each customer what proof it wants.3,5

Does Technology E&O Cover SLA Credits for SaaS Companies?

Not necessarily. One provider's standard policy says SLA penalties, liquidated damages, credits and refunds are not covered, and its breach-of-contract carveback endorsement still excludes service credits. Another warns that many E&O policies don't cover actions that breach a contract, while some list breach-of-contract cover as a feature. Ask for the wording and whether credits are carved out.1,4,7

Does Technology E&O Cover a Data Breach at SaaS Companies?

It depends on the policy. One provider says its tech E&O does not cover data breaches or unauthorized access, and another says many tech E&O policies bundle cyber liability but not all do. Georgia's guidance asks for network security and privacy coverage in addition to tech E&O when a supplier handles confidential data. Confirm whether your quote includes breach response and network security.1,3,5
