What Evidence Supports Spot’s Assessment of Aon?

Role: Broker. Scope: Aon group commercial insurance brokerage, assessed at brand level from Aon's published terms, its 2025 SEC filing, and U.S., U.K. and Irish regulator records. Aon Role and entity scope

Aon acts as your broker, not your insurer. Its U.S. terms say it is broker of record for certain programs, helps prepare applications, takes your instruction before it binds cover and administers the account with insurers.[1]

The parent, Aon plc, is incorporated in Ireland. The 10-K says its subsidiaries hold the licenses, so the company that places your policy depends on the country and the office. Aon's Global Broking Centres are wholesale desks run through Aon UK Limited, and regulated dealings with you stay with your local Aon office.[3][7]

Aon Licensing and regulators

Aon says it is licensed as an insurance producer, broker, agent, reinsurance broker or managing general agent in the places that require it, and that regulators such as the FCA in the U.K. and federal and state agencies in the U.S. enforce this. It also says client premiums and claim money held for others must be kept apart under U.K. and U.S. rules.[3]

In the U.K., Aon UK Limited states it is FCA-authorised (310451) and Companies House shows it as an active company. In Ireland, the Central Bank of Ireland register lists Aon Ireland Limited (C1298) as a registered insurance intermediary. In the U.S., Texas Department of Insurance orders show two Aon brokerage entities hold Texas surplus lines licenses (19920 and 9267). The FCA register could not be loaded, so the U.K. license is company-reported, and no NAIC or NIPR search was completed for the other states.[6][8][9][11][12]

Aon Insurer relationships

Aon says it places insurance with many insurers and that none accounted for more than 10% of the premium it placed in 2025. Its largest single client was about 1% of revenue. That shows a broad market, not which insurers back a given policy. The U.S. terms say Aon consults you on which insurers to approach, and the insurer on your policy is named in your proposal and binder.[3][1]

Aon Regulatory record

Regulators have acted against Aon entities. In 2009 the U.K. regulator fined Aon Limited GBP 5.25 million for weak controls on payments to overseas third parties (2005 to 2007). In 2011 Aon settled with the U.S. DOJ and SEC for about USD 16.3 million over overseas payments made between 1983 and 2007. These are old and were resolved, and Aon says it rebuilt its anti-corruption program.[4][5]

More recently, Texas consent orders in September 2024 fined two Aon brokerage entities USD 2,425 and USD 7,750 for filing surplus lines policies late in 2023. The Southwest order lists five earlier Texas orders for the same rule. These are filing-timeliness penalties, not findings about client money or advice.[11][12]

Aon's 2025 10-K also describes lawsuits over a 2016 plane crash and over reinsurance letters of credit tied to Vesttoo, plus a 2023 USD 197 million charge for related settlements. A Clear Blue suit over those letters was dismissed with prejudice on 26 September 2025; a Vesttoo trust suit against Aon was pending. These are civil claims, and none is a regulator finding.[3]

This search covered the FCA, the U.S. SEC and DOJ, Texas and company filings. It did not cover every state, the Central Bank of Ireland enforcement list or Lloyd's, so it is not a complete conduct record.[3]

Aon Pay and conflicts

Aon's U.S. terms say the insurer or another third party pays its commission, which can vary with the insurer you pick. It may also receive contingent commissions, overrides, bonus and wholesale commissions and referral fees. You can ask for details. Its 10-K calls insurer-paid market-derived income a potential conflict of interest that regulators may scrutinize. The terms say Aon will tell you and seek agreement if it finds a conflict it cannot manage.[1][3]

For global placements, Aon says you can ask your local Aon office for details of any additional remuneration. The terms make you responsible for telling your insurer about a claim unless you agree otherwise in writing.[7][1]
