Private-company forms can differ from public-company forms in what they insure at the entity level: a specimen may grant Side C for organization wrongful acts, while another grant may be confined to securities claims.
Insured-versus-insured clauses can affect internal disputes, and prior-acts or conduct exclusions can affect known problems. Ask whether every subsidiary and board role is included, whether investor claims qualify, and whether the company and individuals draw from one limit. Review the definitions and endorsements with the quote rather than comparing the “private company” label alone.
