# D&O vs Management Liability: What’s the Difference?

D&O is one line of management liability; a package may combine it with EPLI, fiduciary, or crime coverage.

D&O is one line of management liability; a package may combine it with EPLI, fiduciary, or crime coverage but use one aggregate or separate limits and retentions. Treat “management liability” as a package label until you inspect the schedule.

Side A/B/C describe D&O payment grants; they do not tell you whether the package includes employment or plan coverage. Exclusions can differ across sections, and a claim may trigger more than one. Review each insuring agreement, named entity, sublimit, shared-limit clause, defense-cost treatment, and reporting condition. Ask for the full forms and endorsements, not just a proposal summary listing coverage names.
